Terms of Use

The terms that apply to your access to Jellyfish and the recruiter application.

Agreement to these terms

These Terms of Use (“Terms”) govern access to the Jellyfish website and recruiter application (together, the “Service”). The Service is provided by Jellybrain, Inc., a Delaware corporation doing business as Jellyfish (“Jellyfish,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. You represent that you have authority to bind that organization. If you do not agree, do not use the Service.

Customer agreements

If your organization has a separate agreement, order form, or statement of work with Jellyfish, that agreement controls to the extent it conflicts with these Terms. These Terms otherwise apply to visitors and authorized users of the Service.

The Service

Jellyfish provides tools that help recruiting teams organize role intake, find and evaluate potential candidates, support outreach, and coordinate screening. The Service may use automated systems and third-party technologies to generate recommendations or perform workflow steps.

The Service is a decision-support tool. It does not make hiring, employment, or other high-impact decisions for you. You are solely responsible for reviewing outputs, exercising independent judgment, and making decisions about candidates and employment.

Accounts and access

You must provide accurate account information, protect your sign-in credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity that occurs through your account and for ensuring that your authorized users comply with these Terms.

Your data and recruiting responsibilities

You retain your rights in information you submit to the Service (“Customer Data”). You grant us the limited rights needed to host, process, transmit, and display Customer Data to provide and improve the Service, comply with law, and enforce these Terms.

You are responsible for:

  • ensuring you have all necessary rights, notices, permissions, and legal bases to use Customer Data with the Service;
  • complying with employment, privacy, anti-discrimination, anti-spam, consumer protection, export-control, and other laws that apply to your use of the Service;
  • reviewing automated outputs for accuracy, relevance, bias, and appropriateness before relying on or acting on them; and
  • obtaining human review before making any decision that materially affects a candidate or another individual.

Acceptable use

You will not, and will not allow anyone to:

  • use the Service unlawfully or to violate another person's rights;
  • submit data you are not authorized to use, or use the Service to discriminate unlawfully;
  • send unlawful, deceptive, harassing, or unsolicited communications;
  • interfere with or circumvent Service security, access controls, or usage limits;
  • copy, resell, rent, reverse engineer, or create a competing product from the Service except where prohibited by applicable law; or
  • use the Service, its outputs, or its content to train a competing model or service without our written permission.

Intellectual property and feedback

Jellyfish and its licensors retain all rights in the Service, its software, designs, documentation, and other materials, except for Customer Data. If you provide feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation.

Third-party services and availability

The Service may integrate with or rely on third-party services. Their availability and terms are outside our control. We may modify, suspend, or discontinue features when reasonably necessary to operate, secure, or improve the Service.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JELLYFISH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE OR ITS OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR EMPLOYMENT OR BUSINESS DECISION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JELLYFISH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. JELLYFISH'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU OR YOUR ORGANIZATION TO JELLYFISH FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS IF NO AMOUNT WAS PAID.

Suspension and termination

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, created a security risk, or used the Service in a way that may create harm or legal exposure. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue, except where applicable law requires otherwise.

Changes and contact

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. If you continue to use the Service after an update takes effect, you accept the updated Terms. Questions about these Terms may be sent to symion@vibeonly.ai.
